Please read these terms carefully before using Nova Business

These Terms of Service ("Terms") govern your access to and use of Nova Business ("Service," "we," "us," or "our"), including our website at novabusiness.one, mobile applications, and desktop applications.

By accessing or using Nova Business, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Definitions

For the purposes of these Terms:

  • "Service" refers to Nova Business, including all features, content, and functionality available through our website, mobile apps, and desktop applications
  • "You," "User," or "Customer" refers to the individual or business entity accessing or using the Service
  • "Account" refers to your unique account created to access the Service
  • "Content" refers to all data, information, text, graphics, or other materials uploaded, stored, or transmitted through the Service
  • "Subscription" refers to the paid plan you select to access premium features

Eligibility

To use Nova Business, you must:

  • • Be at least 18 years of age or the age of majority in your jurisdiction
  • • Have the legal capacity to enter into a binding agreement
  • • Provide accurate and complete registration information
  • • Not be prohibited from using the Service under applicable laws
  • • Not have been previously suspended or removed from the Service

If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

Account Registration and Security

Creating an Account

To use Nova Business, you must create an account by providing:

  • • Business name and address
  • • A secure password

Account Security

You are responsible for:

  • • Maintaining the confidentiality of your account credentials
  • • All activities that occur under your account
  • • Notifying us immediately of any unauthorized access or security breach
  • • Ensuring your account information remains accurate and up to date

Account Termination

We reserve the right to suspend or terminate your account if:

  • • You violate these Terms
  • • You provide false or misleading information
  • • Your account is inactive for an extended period
  • • We are required to do so by law
  • • Continuing your access poses a security or legal risk

Subscription Plans and Payment

Subscription Tiers

Nova Business offers various subscription plans with different features and capabilities. Plan details, pricing, and features are available on our website and may be updated from time to time.

Free Trial

We may offer a free trial period for certain subscription plans. During the trial:

  • • You have access to premium features at no charge
  • • You may cancel at any time before the trial ends
  • • Your payment method will be charged automatically when the trial expires unless you cancel
  • • We reserve the right to modify or discontinue free trial offers

Billing and Payment

By subscribing to a paid plan, you agree that:

  • • Subscription fees are billed in advance on a recurring basis (monthly or annually)
  • • You authorize us to charge your payment method automatically for each billing cycle
  • • All fees are non-refundable except as expressly stated in our Refund Policy
  • • You are responsible for all applicable taxes
  • • Failed payments may result in service suspension or termination
  • • Price changes will be communicated at least 30 days in advance

Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings or by contacting support.

Downgrades and Cancellations

You may downgrade or cancel your subscription at any time:

  • • Downgrades take effect at the start of the next billing cycle
  • • You retain access to paid features until the end of your current billing period
  • • Cancellations do not entitle you to a refund for the current billing period
  • • Your data is retained for 90 days after cancellation, after which it may be deleted

Acceptable Use Policy

You agree to use Nova Business only for lawful purposes and in accordance with these Terms. You agree NOT to:

Prohibited Activities

  • • Use the Service for any illegal purpose or in violation of any laws
  • • Infringe upon intellectual property rights of others
  • • Transmit viruses, malware, or other malicious code
  • • Attempt to gain unauthorized access to the Service or other users' accounts
  • • Reverse engineer, decompile, or disassemble any part of the Service
  • • Use automated systems (bots, scrapers) without our written permission
  • • Interfere with or disrupt the Service or servers
  • • Impersonate another person or entity
  • • Harass, abuse, or harm other users
  • • Upload false, misleading, or fraudulent information
  • • Use the Service to send spam or unsolicited communications
  • • Resell or redistribute the Service without authorization

Business Use Requirements

When using Nova Business for your business operations, you must:

  • • Ensure all data entered is accurate and truthful
  • • Comply with all applicable business regulations and tax laws
  • • Respect customer privacy when storing customer information
  • • Not use the Service to facilitate fraudulent transactions
  • • Obtain necessary permissions for any third-party integrations (WhatsApp Business, etc.)

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

User Content and Data

Your Content

You retain all rights to the content and data you upload to Nova Business ("User Content"), including:

  • • Business information and records
  • • Customer data
  • • Product catalogs and inventory data
  • • Sales transactions and invoices
  • • Reports and analytics

License to Nova Business

By uploading User Content, you grant Nova Business a limited, non-exclusive, worldwide license to:

  • • Store, process, and transmit your User Content
  • • Display your User Content back to you within the Service
  • • Create backups and ensure data redundancy
  • • Perform technical operations necessary to provide the Service

This license terminates when you delete your User Content or close your account, except for backup copies retained according to our data retention policies.

Your Responsibilities

You are solely responsible for:

  • • The accuracy and legality of your User Content
  • • Ensuring you have necessary rights and permissions to upload User Content
  • • Maintaining backups of important User Content
  • • Compliance with data protection laws regarding customer information
  • • Any consequences resulting from your User Content

Content Review

While we have no obligation to monitor User Content, we reserve the right to review, remove, or disable access to any User Content that violates these Terms or applicable laws.

Intellectual Property Rights

Nova Business Ownership

The Service, including all software, code, designs, graphics, logos, and documentation, is owned by Nova Business and protected by intellectual property laws. Our trademarks, service marks, and logos may not be used without our prior written permission.

Restrictions

You may not:

  • • Copy, modify, or create derivative works of the Service
  • • Reverse engineer or attempt to extract source code
  • • Remove any copyright, trademark, or proprietary notices
  • • Use our intellectual property without authorization
  • • Frame or mirror any part of the Service

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use, implement, and incorporate such feedback without compensation or attribution.

Third-Party Integrations

WhatsApp Business Integration

Nova Business integrates with WhatsApp Business through Meta's official APIs. When you enable this integration:

  • • You must comply with WhatsApp's Terms of Service and Business Policy
  • • You are responsible for obtaining necessary permissions from Meta/Facebook
  • • We are not responsible for changes, disruptions, or termination of WhatsApp services
  • • You acknowledge that WhatsApp data is subject to Meta's privacy policies

Other Third-Party Services

The Service may integrate with or link to third-party services (payment processors, cloud storage, etc.). We are not responsible for:

  • • The availability, accuracy, or content of third-party services
  • • Third-party terms, policies, or practices
  • • Any damages resulting from third-party services
  • • Data privacy practices of third parties

You should review the terms and privacy policies of any third-party services you use in connection with Nova Business.

Service Availability and Modifications

Service Uptime

While we strive to provide reliable service, we do not guarantee that:

  • • The Service will be uninterrupted or error-free
  • • All features will be available at all times
  • • The Service will be free from viruses or harmful components
  • • Results obtained from the Service will be accurate or reliable

Maintenance and Updates

We may perform scheduled or emergency maintenance that temporarily interrupts service. We will attempt to provide advance notice for planned maintenance when possible.

Service Modifications

We reserve the right to:

  • • Modify, update, or discontinue features at any time
  • • Change subscription plans and pricing with 30 days notice
  • • Impose usage limits or restrictions
  • • Discontinue the Service entirely with reasonable notice

Offline Functionality

Nova Business supports offline functionality, but:

  • • Some features require internet connectivity
  • • Offline data must be synchronized when reconnected
  • • We are not liable for data loss during offline use or synchronization issues

Disclaimers

IMPORTANT LEGAL NOTICE

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, Nova Business disclaims all warranties, including but not limited to:

  • • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • • Warranties regarding accuracy, reliability, or completeness of the Service
  • • Warranties that the Service will meet your requirements or be error-free
  • • Warranties regarding security or data protection

Nova Business is a business management tool. We do not provide:

  • • Financial, legal, tax, or accounting advice
  • • Guarantees about business outcomes or success
  • • Compliance services for your specific jurisdiction
  • • Professional services or consulting

You are responsible for consulting appropriate professionals regarding financial, legal, and regulatory matters affecting your business.

Limitation of Liability

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVA BUSINESS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

In no event shall Nova Business, its officers, directors, employees, or agents be liable for:

  • • Loss of profits, revenue, or business opportunities
  • • Loss of data or information
  • • Business interruption or downtime
  • • Cost of substitute services or products
  • • Errors in business decisions based on Service data
  • • Damages resulting from unauthorized access to your account
  • • Third-party actions or service interruptions

Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 USD, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Nova Business and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising from:

  • • Your violation of these Terms
  • • Your use or misuse of the Service
  • • Your User Content
  • • Your violation of any third-party rights
  • • Your violation of applicable laws or regulations
  • • Unauthorized use of your account due to your failure to maintain security

This indemnification obligation survives termination of these Terms and your use of the Service.

Dispute Resolution

Informal Resolution

If you have a dispute with Nova Business, you agree to first contact us at support@novabusiness.one and attempt to resolve the dispute informally. We will work in good faith to resolve any issues.

Governing Law

These Terms are governed by and construed in accordance with the laws of your jurisdiction, without regard to conflict of law principles.

Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law. You waive your right to participate in class action lawsuits or class-wide arbitration.

Exceptions

Either party may seek injunctive relief in court to protect intellectual property rights or confidential information.

Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes:

  • • We will update the "Last Updated" date
  • • For material changes, we will notify you via email or prominent notice in the Service
  • • Changes take effect immediately for new users
  • • For existing users, changes take effect 30 days after notification
  • • Continued use after changes constitutes acceptance

If you do not agree to modified Terms, you must stop using the Service and may cancel your subscription according to our Refund Policy.

Termination

Termination by You

You may terminate your account at any time by:

  • • Canceling your subscription through account settings
  • • Contacting our support team
  • • Sending a written termination notice

Termination by Nova Business

We may suspend or terminate your account immediately if:

  • • You violate these Terms or our Acceptable Use Policy
  • • Your account is involved in fraudulent activity
  • • You fail to pay subscription fees
  • • We are required to do so by law
  • • Continuing service poses legal or security risks

Effect of Termination

Upon termination:

  • • Your access to the Service will be immediately disabled
  • • You will lose access to your User Content within the Service
  • • Your data is retained for 90 days, after which it may be permanently deleted
  • • You can export your data during the 90-day period
  • • No refunds are provided for prepaid subscription periods
  • • Provisions that should survive termination will remain in effect (warranties, limitations of liability, indemnification)

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Nova Business regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

Force Majeure

We are not liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet service interruptions.

Export Compliance

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to trade embargo or designated as a "terrorist supporting" country.
